Terms of Use

1. Purpose

These Terms of Use (hereinafter “ToU”) govern access to and use of the WonderGuest platform, available at wonderguest.app and through iOS and Android mobile applications (hereinafter “the Service”).

The Service is operated by SEEDFLOW, a simplified joint-stock company (SAS) incorporated in the European Union, with its registered office at 24 rue Lombard, 33300 Bordeaux (SIREN 989 468 426), referred to below as “WonderGuest” or “we”.

WonderGuest is a SaaS solution that allows short-term rental hosts to create and share digital guidebooks with their guests.

By creating an account or using the Service, the User unconditionally accepts these ToU.

2. Registration and account

Registration is open to any natural person of legal age or legal entity. The User agrees to provide accurate and up-to-date information upon registration. Each account is personal and may not be transferred to a third party.

The User is responsible for the confidentiality of their login credentials. Any activity carried out from their account is deemed to have been performed by them.

4. Referral program

WonderGuest offers a referral program allowing Users to recommend the Service to new users. The referrer receives a commission of 20% on subscriptions paid by their referrals, for a maximum duration of 24 months from the referral’s registration. The minimum withdrawal threshold is set at €50.

5. Cancellation

The User may cancel their subscription at any time from their personal account, with no fees or penalties. Cancellation takes effect at the end of the current billing period. The User retains access to the features of their plan until that date.

The User’s data is retained for 30 days after cancellation, then permanently deleted, except where a legal obligation to retain applies.

6. Use of the Service

The User agrees to use the Service in accordance with its intended purpose and these ToU. In particular, the User shall not:

• Publish unlawful, defamatory content or content infringing third parties’ rights;
• Use the Service for spam or unauthorized commercial solicitation;
• Attempt to access WonderGuest’s computer systems in an unauthorized manner;
• Reproduce, copy or resell all or part of the Service;
• Use the Service in any way likely to impair its operation or security.

WonderGuest may suspend or terminate the account of a User who breaches this section, after notice where the circumstances allow it. WonderGuest terminates, in appropriate circumstances, the accounts of Users who repeatedly infringe copyright, in accordance with its DMCA Policy.

7. Intellectual property

All elements making up the Service (software, interface, design, texts, logos, WonderGuest brand) are the exclusive property of WonderGuest and are protected by intellectual property law.

The User retains full ownership of the content they publish through the Service (texts, photos, information about their accommodations, etc.). By publishing this content, the User grants WonderGuest a non-exclusive, free, worldwide license, limited to what is necessary for the operation of the Service (display of guidebooks to guests, QR code generation, etc.).

The User warrants that they hold the rights necessary to publish the content they upload, in particular photos, and that this content does not infringe the rights of third parties. Copyright complaints about published content are handled under our DMCA Policy.

8. Liability

WonderGuest undertakes to provide the Service with diligence and in accordance with industry standards. The Service is provided “as is”. WonderGuest does not guarantee the absence of interruptions or errors and shall not be held liable for indirect damages resulting from use of the Service.

To the extent permitted by applicable law, the Service is provided without any implied warranty, including of merchantability or fitness for a particular purpose. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages; in that case the exclusions above apply only to the extent permitted by the law of the User’s place of residence. Nothing in these ToU excludes or limits a liability that cannot be excluded under applicable law.

The User is solely responsible for the content they publish through the Service and shall indemnify WonderGuest against any third-party recourse in this respect. The User is in particular responsible for the accuracy of the information provided in their guidebooks.

9. Data protection

The processing of personal data is governed by our Privacy Policy, available from the application and the website. WonderGuest undertakes to comply with applicable data protection regulations, in particular the General Data Protection Regulation (GDPR).

When the User collects guest data through the Service (check-in forms, extras store), WonderGuest processes that data on the User’s behalf under the Data Processing Agreement, which forms part of these ToU.

Payment data is processed directly by Stripe and is not stored on WonderGuest servers.

10. Modification of the ToU

WonderGuest reserves the right to modify these ToU at any time. Changes will be notified to the User by email or through the Service at least 30 days before they enter into force. Continued use of the Service after that date constitutes acceptance of the new ToU.

11. Applicable law and jurisdiction

These ToU are governed by the law of the European Union Member State in which SEEDFLOW has its registered office, as stated in the Legal Notice. In the event of a dispute, the parties agree to seek an amicable solution. Failing that, the competent courts of that Member State shall have sole jurisdiction.

This choice does not deprive the User of the protection of the mandatory consumer protection rules of the country or state in which they reside.
